Service Agreement

SERVICE PROVIDER: PayBureau Ltd, The Close, Eckington, Pershore, Worcs. WR10 3AY

The Client

The client wishes to engage the services of PayBureau Ltd for the purposes of outsourcing its payroll requirements.

Service

  1. PayBureau Ltd will undertake the preparation of the client’s payroll in a form that complies with the client’s statutory obligations.

  2. PayBureau Ltd will calculate net wages and salaries payable, after appropriate deductions, based on data, information and instructions supplied to us by the client and in accordance with HMRC requirements and the appropriate statutory tax and N.I rates.

  3. Provided that the client provides us, PayBureau Ltd, with the information necessary to calculate the wages and salaries (including any changes to employee details) in accordance with the agreed timetable, we will arrange for payslips and summaries to be send electronically to the client by the agreed date.

  4. PayBureau Ltd will provide the client with all forms such as P45’s and P60’s as required.

  5. PayBureau Ltd will file all RTI and year end requirements with HMRC as necessary.

Data Verification

  1. The client will check the payroll summary report on the day of receipt and will verify that the information contained on the payroll summary reports is in accordance with the information supplied to PayBureau Ltd.

  2. The client will inform PayBureau Ltd of any errors identified on the payroll reports no later than midday on the working day following receipt. Failing which PayBureau Ltd shall have no liability for any such errors and the client shall be bound to pay the fees for PayBureau Ltd as if the payroll summary reports had been true and accurate in all respects.

Data Protection

Both PayBureau Ltd and the client agree to take appropriate measures to ensure, under GDPR obligations and responsibilities, the security of processing, transferring and storage of all data, both personal and company, required by HMRC to process payroll, including advice to the Information Commissioner’s Office (ICO) if required.

PayBureau Ltd will liaise with the client regarding audits, inspections and infringements.

The client must inform PayBureau Ltd the names of those with whom we may communicate.

Charges

  1. The charges for processing the payroll will be in accordance with the agreed fees.

  2. PayBureau Ltd reserve the right to charge extra fees if the client is late providing the necessary information for the payroll, or if the client requests that the payroll be re-run (unless this is to correct an error made by PayBureau Ltd).

  3. Other services are available and can be provided as the client’s request, charges on request.

  4. All prices quoted are valid for the relevant tax year and are subject to review each tax year. 

Other

  1. Each party warrants that it will use reasonable skill and care in the performance of its obligation under this agreement, especially regarding data security.

  2. PayBureau Ltd will only engage a sub-processor with the prior consent of the client but reserves the right to use experienced self-employed staff under their own company.

  3. English Law shall govern this Agreement.

Commencement Date

This Agreement shall commence with effect from the date that the initial set up information is received and shall continue until such time as terminated by either party in accordance with the following provisions.

Cancellation of Agreement

  1. Either party can cancel this Agreement by giving one full calendar month’s notice in writing. The non-breaching party may cancel this Agreement immediately if the other party:-

    a)     Commits and material breach, non-performance, or non-observance of it’s obligations hereunder and does not remedy such material breach, capable of remedy, with fourteen days after notice is given to it in writing.

    Or

    b)     Enters into liquidation, whether compulsory or voluntarily, other than for the purpose of amalgamation or solvent reconstruction or has an Administrator, Administrative Receiver, Receiver or Manager appointed over any assets or makes any composition or arrangements with its creditors.

  2. In the event of cancellation of this agreement one month’s extra fees will be charged to cover the required three year storage of data.

  3. On receipt of final settlement of all outstanding invoices all current data will be returned to the client or forwarded to the client’s nominated representative.
